DRAFT — placeholder for legal review, not legal advice. Prepared 2026-08-17 for GCIT to review with counsel. This document is a plain-English starting point drafted by the Burli team to describe how we intend the service to work. It has not been reviewed by a lawyer, it is not legal advice, and it must be checked, corrected, and replaced by GCIT's legal counsel before Burli relies on it or publishes it as binding terms.
Burli — Terms of Service
Last updated: 2026-08-17 (DRAFT)
1. Who we are and what these terms cover
Burli ("Burli", "we", "us", "our") is a self-serve platform that lets you add AI "coworkers" to your organisation's Microsoft Teams. Burli is operated by GCIT Pty Ltd, a company based on the Gold Coast, Queensland, Australia ("GCIT").
These Terms of Service (the "Terms") are a contract between GCIT and the person or organisation that creates a Burli account and uses the service (the "Customer", "you", "your"). They cover your access to and use of the Burli website at burli.ai, the Burli application and coworkers, the credit-based billing system, and any related tools or APIs (together, the "Service").
By creating an account, signing in, or using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm that you are authorised to bind that organisation.
For counsel: confirm the correct GCIT legal entity name and ABN/ACN, and whether a separate order form / master agreement is preferred over click-through acceptance.
2. The Service
Burli provides one or more AI coworkers that operate inside Microsoft Teams. A coworker can chat with your people, take actions you have authorised through connected applications, and carry out workflows on your behalf. The specific capabilities available to you depend on your configuration, the connectors you enable, and your credit balance.
The Service is offered on a self-serve basis. Features may be added, changed, or removed over time as the product develops. Some parts of the Service are in beta (see Section 10).
3. Eligibility
You must be at least 18 years old and capable of entering a binding contract to use the Service. The Service is intended for use by businesses and their workers, not for personal or household use, and not by children. See the Privacy Policy for more on age.
4. Accounts and Microsoft sign-in
- Sign-in. Burli uses Microsoft sign-in (Microsoft Entra ID / Microsoft 365) to authenticate you. You are responsible for maintaining the security of your Microsoft account and for all activity that occurs under your Burli account.
- Authority. You must ensure that the people who connect Burli to your Microsoft 365 tenant and enable connectors are authorised by your organisation to do so.
- Accurate information. You agree to provide accurate account and billing information and to keep it up to date.
- Responsibility. You are responsible for your users' use of the Service and for configuring appropriate permissions, approvals, and oversight.
5. Acceptable use
You agree not to use the Service to:
- break any law, or infringe anyone's rights (including privacy and intellectual property rights);
- send spam, malware, or engage in phishing, fraud, or deceptive conduct;
- attempt to gain unauthorised access to the Service, other customers' data, or any system or network;
- interfere with, overload, or disrupt the Service, or circumvent usage limits, credit metering, or security controls;
- use the Service to build a competing product by copying it, or to reverse engineer it except to the extent the law permits;
- direct a coworker to take actions you are not authorised to take, or to access data you are not entitled to access; or
- generate or distribute content that is unlawful, harmful, harassing, or that violates the acceptable-use rules of Microsoft, Anthropic, or any other provider whose services underpin Burli.
You are responsible for the instructions you give your coworkers and for reviewing material actions before they take effect (see Section 8).
We may investigate suspected breaches and may suspend or limit the Service to protect Burli, our other customers, or third parties (see Section 11).
6. Credits and billing
Burli is paid for using prepaid credits.
- Prepaid credit packs. You buy credits in advance as credit packs, priced in Australian dollars (AUD). Prices shown are inclusive of GST unless stated otherwise. Payments are processed by our payment provider, Stripe; by purchasing you also agree to Stripe's applicable terms.
- Free starting credit. New accounts receive AUD $100 of free starting credit to try the Service. Free credit is promotional, has no cash value, is non-transferable, and may expire or be changed or withdrawn at our discretion.
- How credits are consumed. Credits drain as you use the Service, based on consumption. Consumption includes the cost of the AI models your coworkers use and the underlying infrastructure that runs your coworker (for example, the virtual machine and hosting resources dedicated to your organisation), plus a platform margin. In other words, credits reflect the full cost of delivering the Service to you, not only third-party AI charges.
- Metering. Your credit balance and usage are shown in the Service. We use reasonable methods to meter consumption, but metering may not be exact and is provided for your guidance. Where there is a discrepancy, our records of consumption will generally prevail, acting reasonably.
- Running out. If your credit balance is exhausted, coworker functionality may pause or be limited until you top up. We are not responsible for outcomes caused by a coworker pausing because credits ran out.
- No cash refunds of consumed credit. Credit that has already been consumed is not refundable for cash. Unused, unexpired credit may be refundable or transferable only where required by law or as we otherwise agree in writing. Nothing in these Terms limits rights you may have that cannot be excluded under the Australian Consumer Law (see Section 13).
- Expiry. Credits may have an expiry period, which we will make visible at the time of purchase. (For counsel: confirm expiry treatment and whether it interacts with unclaimed-money or ACL rules.)
- Taxes. Prices are stated GST-inclusive for Australian customers. You are responsible for any other taxes or duties that apply to you. (For counsel: confirm GST treatment, tax-invoice requirements, and treatment of any non-Australian customers.)
- Changes to pricing. We may change credit-pack pricing and consumption rates for future purchases. Changes do not retroactively re-price credits you have already bought.
7. Your data and your connected applications
- Your content. As between you and us, you own the data your organisation provides to the Service and the data your coworkers process on your behalf ("Customer Data"). You grant us the rights needed to host, process, and transmit Customer Data so we can provide the Service.
- Connected applications. Burli acts through governed connectors to systems you choose to connect (for example, Microsoft 365 / Teams and other business tools). By enabling a connector, you authorise Burli and your coworker to act on your behalf within the scope you grant, using the permissions you approve. You are responsible for the scope of access you grant and for ensuring you have the right to connect those systems and data.
- Your responsibilities. You must have all necessary rights and consents for the Customer Data and connected systems you bring to the Service, and your use must comply with your own obligations (including privacy laws and any third-party terms).
- Our use of Customer Data. We use Customer Data to operate and support the Service, to meter and bill usage, and as described in the Privacy Policy. We do not sell Customer Data. Details of sub-processors and data handling are in the Privacy Policy.
8. AI output — accuracy and human oversight
Burli's coworkers use large language models and other AI systems. AI output can be wrong, incomplete, or misleading, and coworkers can make mistakes. You should treat coworker output as assistance, not as professional, legal, financial, or other expert advice.
You are responsible for reviewing and confirming material actions before they take effect. Burli provides approval and oversight controls for this purpose, and you agree to use appropriate human oversight for anything consequential (for example, sending external communications, making changes to systems, or spending money). We are not liable for outcomes arising from AI output you or your coworkers act on without appropriate review, to the extent the law allows.
9. Intellectual property
- Our IP. Burli, the Service, and all related software, models integration, and materials are owned by GCIT or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. You get no other rights.
- Your IP. You keep all rights in your Customer Data. (For counsel: confirm position on ownership of coworker-generated outputs and any feedback licence.)
- Feedback. If you give us feedback or suggestions, we may use them without obligation to you.
10. Availability, beta, and no SLA
We aim to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. While the Service (or a feature) is in beta, it is provided "as is", may change or be withdrawn, and carries no service-level agreement (SLA), uptime commitment, or support guarantee. We may perform maintenance, and features may be limited, throttled, or unavailable from time to time.
11. Suspension, termination, and data export
- By you. You may stop using the Service and close your account at any time.
- By us. We may suspend or terminate your access if you breach these Terms, if we reasonably suspect misuse or a security risk, if required by law or by an upstream provider, or if you fail to pay for what you use. Where practical and lawful, we will give notice and an opportunity to fix the problem.
- Effect. On termination, your right to use the Service ends and coworkers stop operating. Unexpired, unconsumed credit is handled as described in Section 6.
- Data export on churn. For a reasonable period after termination, and on request, we will make available an export of your Customer Data in a common format so you can retain it, after which we may delete it in line with the Privacy Policy. (For counsel: confirm the export window and deletion timeline.)
12. Third-party services
The Service depends on third parties, including Microsoft (Microsoft 365 / Teams and hosting on Microsoft Azure), Anthropic and other AI providers, and Stripe. Your use of those services through Burli may also be subject to their terms. We are not responsible for third-party services outside our control, but we will act reasonably to choose and manage the providers that underpin Burli.
13. Consumer guarantees (Australia)
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or other laws that cannot lawfully be excluded. Where we are permitted to limit our liability for a failure to comply with such a guarantee, our liability is limited (at our option) to re-supplying the Service or paying the cost of having it re-supplied. (For counsel: confirm ACL wording and whether the Customer is a "consumer" as defined.)
14. Disclaimers and limitation of liability
Subject to Section 13 and to the extent permitted by law:
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or non-infringement.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising from or related to the Service.
- Our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for credits in the three (3) months immediately before the event giving rise to the claim.
For counsel: confirm the liability cap amount and period, the exclusions, and how they interact with the ACL non-excludable guarantees above. This cap is a placeholder.
15. Indemnity
You agree to indemnify GCIT against claims, losses, and costs arising from your breach of these Terms, your misuse of the Service, your Customer Data, or the actions you authorise your coworkers to take, to the extent permitted by law. (For counsel: confirm scope and mutuality.)
16. Governing law
These Terms are governed by the laws of Queensland, Australia, and you and GCIT submit to the non-exclusive jurisdiction of the courts of Queensland and the courts able to hear appeals from them.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or in-product notice). Changes take effect from the date we publish them, or as stated in the notice. If you continue to use the Service after changes take effect, you accept the updated Terms.
